1、华中科技大学硕士学位论文摘要我国证券市场的萌生和发展源于我国的经济体制转型和改革开放。随着企业改革的逐步深化和经济的持续发展，与之相适应的证券市场应运而生，成为推动我国所有制变革和改进资源配置方式的重要力量，为我国的经济建作出了突出贡献。但是，国内证券公司在发展过程中面临了一系列挑战，包括创新能力不足、资本实力不强、抵御风险能力较弱等，而且随着我国资本市场的逐步扩大和开放，国内证券公司必须尽快寻找自己的合适的发展道路。申银万国与宏源证券合并作为国内资本市场规模最大的并购案例，开启了国内证券公司通过并购
2、方式实现跨越式发展序幕，并购后存续公司的资本实力、抗风险能力大幅提升，为其业务发展打开了新的空间。在对该案例的研究过程中，首先对我国证券行业现状及未来发展趋势进行了简要介绍；接下来介绍了合并双方的基本情况，包括行业地位、经营特点、合并形成过程等；然后重点对并购的动因、合并价格、效益、风险等方面进行了分析，并在上述分析的基础上找出其中存在的一些问题和隐患，主是是文化整合风险和财务风险方面，提出了针对性的提出了一些解决对策。在文章最后，提出了该案例提对我国证券行业发展带来的启示，可以预见，随着证券行业的发
