1、THISAGREEMENT,madethisdayof2011(the"EffectiveDate)between,aChinesecorporationhavingitsprincipalofficeatShanghai200131,P.R.C(hereinafterreferredtoas")anda[Country]Corporationhavingitsprincipalofficeat[Address](hereinatterreferredtoas“Company”).WITNESSETHWHEREAS,bothparties,forthei
2、rmutualbenefit,desiretodisclosetotheothercertainspecifications,designs,plans,drawings,software,data,prototypes,orotherbusinessand/ortechnicalinformationrelatedtoproductionequipmentandprocesstechnologyfor(hereinafterreferredasthe“Project。notcurrentlydisclosedbytheapplicablepatents
3、whichisproprietarytothedisclosingparty.WHEREAS,bothpartiesdisclosecertainareasofsaidproprietarydatatoeachotherontheconditionthattheotherdoesnotdisclosethesametoanythirdpartynormakeusethereofinanymannerexceptfortheevaluationandspecificationrelatingtotheProject.NOW,THEREFORE,thepar
4、tiesheretoagreeasfollows:Article1,DEFINITIONS"ConfidentialInformationMshallmeananyinformationreceivedfromthedisclosingpartywhichismarkedas“CONFIDENTIAL”and/or••PROPRIETARY0.Informationinitiallyfurnishedorallyorvisuallywhichwasidentifiedbythedisclosingpartyasconfidentialand/orprop
5、rietaryatthetimeofdisclosureshallbeconfirmedbythedisclosingpartyasConfidentialInformationinwritingwithaccompanyingletterorpere-mailwithinfifteen(15)daysofitsinitialdisclosure.AnAffiliatedCompanyisanycorporation,company,orotherentity,which:(i)iscontrolledbyapartytothisAgreement;or
6、(ii)controlsaparty;or(iii)isundercommoncontrolwithaparty.Forthispurpose“control”meansownershiporcontrol,directorindirect,ofmorethanfiftypercent(50%)ofthecontrolledentit/ssharesorownershipinterestrepresentingtherighttomakedecisionsforsuchentity.AnentityisconsideredanAffiliatedComp
7、anyonlysolongassuchownershiporcontrolexists.ConfidentialInformationdisclosedorreceivedbyanAffiliatedCompanyofapartyshallbeconsideredasinformationdisclosedorreceivedbythepartyitselfandshallbesubjecttothetermsandconditionsofthisAgreement・Article2,TREATMENTINCONFIDENCEExceptasprovid
