2、rincipleofmutualbenefitandjointdevelopment.ArticleOneDefinitionofConfidentialInformationConfidentialinformationreferstodataandinformationwithrespecttorelevantbusinessesandtechnologies,whetherinwrittenorotherforms,thathavebeendisclosedbyeitherPartyAorPartyBtotheotherp

3、artywithclearlabelordesignationofconfidentialinformation'(hereinafterreferredtoas'confidentialinformation')‘excludingthefollowingdataandinformation:1.Informationthatisalreadyortobemakepublicavailable,exceptthosedisclosedbyeitherPartyAorPartyBortheirrepresentativesinv

4、iolationorthisagreementandwithoutauthorization;2.Non-confidentialinformationthathascometothe,attentionofthereceivingpartybeforethedisclosureoftheotherparty;3.Non-confidentialinformationofferedbyeitherparty,beforethedisclosureofwhichthereceivingpartyisnotinformedofthe

5、factthattheproviderofthisinformation(athirdparty)hassignedabindingconfidentialityagreementwiththepartydisclosingthenon-confidentialinformationunderthisagreement,andthereceivingpartymayreasonablypresumethattheinformationdiscloserisnotforbiddentooffertheinformationtoth

6、ereceivingparty.ArticleTwoObligationsandLiabilities(1)BothPartyAandPartyBrepresenttotheotherpartyastheproviderandreceiverofconfidentialinformation,andthusbothundertakeconfidentialityobligationsandliabilities.(1)NeitherPartyAnorPartyBshalldiscloseormakepublicanyconfid

7、entialinformationtoathirdparty(includingthepress)orotherwisemakeuseoftheconfidentialinformationwithoutthewrittenapprovaloftheotherparty;Bothpartiesareobligedtourgetheirrepresentativesnottodiscloseormakepublicanyconfidentialinformationtoathirdparty(includingthepress)o

8、rotherwisemakeuseoftheconfidentialinformationunlessthedisclosure,publicityandapplicationoftheconfidentialinformationisrequiredbythe
