1、MUTUALNONDISCLOSUREAGREEMENTThisMutualNondisclosureAgreement,effectiveasof2005,isbeingenteredintobetweenand[insertcorrectcompanynameandaddress](uCompany”)relativeto_ConfidientialInformationsuppliedtoCitectPty.Ltd'sChinaoperations“Citect”)fortheContractNo:Contract003forSoftwareSupplyandServiceseffect
2、iveOctober15,2003.1,TheCompanyandESIeachagreenottodivulgetothirdparties,withoutthepriorwrittenconsentoftheother,anyconfidentialinformationobtainedfromorthroughtheotherinconnectionwiththeperformaneeofthisAgreement(the“ConfidentialInformation”,includingthetermsofthisAgreement.ConfidentialInformationma
3、yinelude,withoutlimitation,tradesecrets,processes,formulae,sourcecodematerials,specifications,programs,softwarepackages,testresults,technicalknow-how,methodsandproceduresofoperation,businessormarketingplans,customerlists,proposals,andlicenseddocumentation.TheCompanyandESIherebyconfirmthattheywillnot
4、useanyconfidentialInformationoftheotherparty,exceptinfurtheraneeofthepurpose(s)setforthhereinabove,andagreethateachwillalsotakeallreasonablestepstopreventitsemployeesandconsultantsfromusingordisclosinganyoftheotherparty'sConfidentialInformationexceptasrequiredfortheperformaneeoftheirdutieshereunder.
5、ESIandtheCompanywillmarkallConfidentialInformationwiththeword"Confidential”andwillinstructtheiremployeestoidentifyasconfidentialanysuchinformationwhichisnotinwrittenform.Anyinformationdisclosedorallyshallbefollowedbyawrittenconfirmationthereof,specifyingthedateandsubjectofthedisclosure,withinthirty(
6、30)days.2.Informationshallnotbeconsideredconfidentialifit:a.iscontainedinaprintedpublicationpriortothedateofthisAgreement;b.isorbecomespubliclyknownthroughnowrongfulactorfailuretoactonthepartofthereceivingparty;orC.isrightfullyknownbythereceivingpartywithoutanyproprietaryrestrictionsatthetimeofrecei
7、ptofsuchinformationfromthedisclosingpartyorbecomesrightfullyknowntothereceivingpartywithoutproprietaryrestrictionsfromasourceotherthanapartytothisAgreement;ord.isrequiredbylawtobedisclosedbythereceivi
