1、MutualConfidentialityAgreementThismutualconfidentialityagreement("Agreement”)ismadeon("EffectiveDatebetweenSmithsMedicalASD,Inc.,includingitsaffiliates,havingofficesat6000NathanLaneNorth,Minneapolis,MN55442(“SmithsMedical")andHebiFeiheShareCo.,ltdhavingofficesat_—("Company")(eachindividuallyasa"
2、Party"andcollectivelyasthe"Parties”).1・ThePartieswishtoengageincommercialdiscussionsrelatingto[includethepurposeforwhichtheinformationisbeingdisclosed](the"ProperPurpose")andforthatProperPurposeeachPartyintendstodisclosetotheothercertainproprietary,confidentialinformation.EachPartyagreesthatitsd
3、isclosureandreceiptofConfidentialInformation(definedbelow)shallbesubjecttothetermsandconditionsofthisAgreement,o2.ConfidentialInformationshallmeanallinformation,includinginformationcommunicatedinanymannerandinformationrecordedorpreservedinanymedia,andshallinclude,withoutlimitation,allconfidentia
4、l,proprietary,non-publicideasandinformationofoneparty(the“Discloser”)thataremadeavailabletotheotherParty(the"Recipient”)relatingto:(a)technologicalinfonnationintheformofdata,drawings,designsconcepts,specifications,patentapplications(whetherindraftorfinalform),software,prototypes,processes,proced
5、ures;and(b)otherinformationrelatingtotheDiscloser5sbusinessincludingbutnotlimitedto,customerandsupplierlistsandcontactdetails,financialprojections,budgets,businessplans,pricingpolicies,newproducts,businessstrategies,formulae,notes,analyses,compilations,studies,interpretationsorotherdocuments,and
6、know-how・Withoutlimitingtheforegoing,informationshallbeconsideredConfidentialInformationregardlessofwhetheritisdisclosedinwritingororally,visuallyorelectronically・Likewise,informationthatismarkedas"confidential/5“secret"or"proprietary^orwithlanguageofsimilarmeaning,aswellasinformationwhichwouldr
