1、NON-DISCLOSUREAGREEMENTbetweenandWHEREASThepartiesmayhavedisclosedandwillfurtherdisclosecertainconfidentialinformation(hereinafterreferredtoas"Information^)forthepurposeof(hereinafterreferredtoas"Purpose")・WHEREASThepartieswishtodefinetheirrightsandobligationswithrespecttosaidIn

2、formationbyestablishingthebasisuponwhichsaidInformationand/ordocumentswillbedisclosedbyoneparty(hereinafterreferredtoasthe“DisclosingPattyJandreceived,held,safeguardedbytheotherparty(hereinafterreferredtoasthe"ReceivingParty^)・1.ForthepurposeofthisAgreement,Informationmeansinfor

3、mationrelatingtoonepartywhichismadeavailablebysuchpartytotheotherpartyforthePurpose,includingbutnotlimitedtoanalyses,studies,knowledgeandsamplesbutexcludinginformationwhich:(i)ispubliclyavailableorbecomespubliclyavailable(otherthanasaresultofdisclosurebytheReceivingPartyoranyoth

4、erpersoncontrarytothetermsofthisAgreement);or(ii)wasavailable(ascanbedemonstratedbytheReceivingParty'swrittenrecordsorotherreasonnbleevidence)totheReceivingPartyoranotherpersontowhomitisfurnishedhereunderfreeofanyrestrictionastoitsuseordisclosurepriortoitsbeingsofumished;or(iii)

5、becomesavailabletotheReceivingParty(ascanbedemonstratedbytheReceivingParty^swrittenrecordsorotherreasonableevidence)fromasourceotherthantheDisclosingParty,whichsourceisnotboundbyanyobligationofconfidentialitytotheDisclosingPartyinrelationtosuchInformation;or(iv)isindependentlyde

6、velopedbytheReceivingParty;or(v)isrequiredtobedisclosed,retainedormaintainedbylaworanyregulationoranygovernmentalorganization.2.Bothpartiesshall(i)treattheInformationwiththesamedegreeofcaretoavoiddisclosuretoanythirdpartyasisusedwithrespecttotheReceivingPartyowninformationoflik

7、eimportancewhichistobekeptconfidential;(ii)keeptheInformationrelatingtotheotherpartysecretandconfidentialandnotdiscloseanyofittoanyotherpersonotherthantheReceivingParty'sdirections,employees,advisersorsubsidiariesandaffiliateswhoneedtoknowthesameforthePurpose;(iii)usetheInformat
