1、TRADEMARKLICENSEAGREEMENTTHISTRADEMARKLICENSEAGREEMENT(the"Agreement")byandbetween,acorporationorganizedunderthelawsof,and,acompanyincorporatedundertheLawsoftheThePeoplesRepublicofChina,ismadeat,andiseffectiveasofthedayof.WITNESSETHTHAT:WHEREAS,eachpa
2、rtyhasexpressedinterestinobtaininganon-exclusivelicensetousetrademarks,ifany,ownednoworinthefuturebytheotherparty,andeachpartyhasexpressedinterestingrantingsuchalicense.NOWTHEREFORE,inconsiderationoftheforegoingandthemutualcovenantsofthepartieshereina
3、ftercontained,thepartiesherebyagreeasfollows:ARTICLE1.DEFINITIONS:Eachofthefollowingwordsorphrasesshallbearthemeaningsetforthoppositeitasfollows:NetSellingPrice:Theamountactuallybilledtopurchasers,afterdeducting(1)anyfederal,state,orlocalsalesorothert
4、axactuallyleviedandpaidonthebasisofthesalesprice,(2)resalediscounts,(3)returnsorallowances,and(4)transportationandpackingchargesinexcessofthosechargesnormallyandroutinelyincurredintransportingProductssoldtothepurchaserthereof.Products:ItemssetforthonS
5、chedulesAandBofthisAgreement,asmodifiedbythepartiesfromtimetotime.Trademarks:TrademarkssetforthonSchedulesAandBofthisAgreement,asmodifiedbythepartiesfromtimetotime.Improvements:ImprovementstoTechnologyoranyotherinventionorintellectualproperty.ARTICLE2
6、.TRADEMARKLICENSE:A.CertainTrademarksusedwithProductsproducedbyoneparty(the“TrademarkLicensee”)maybeownedbytheotherparty(the“TrademarkLicensor”)hereto.Insuchcases,theTrademarkLicensorshallgranttotheTrademarkLicensee,subjecttothetermshereof,anon-exclus
7、iveright,licenseandauthoritytousetheTrademarkswhichareownedbytheTrademarkLicensorandwhichareusedwithProductsmadebytheTrademarkLicensee(the“TrademarkLicense.”)TheTrademarkLicensee’suseoftheTrademarkLicensor’sTrademarksshallinuresolelytothebenefitoftheT
8、rademarkLicensor.B.TheTrademarksforwhichTrademarkLicenseisgrantedunderSection2.A.ofthisAgreementarelistedintheattachedSchedulesAandB.ThepartiesmayreviseSchedulesAandBfromtimetotimebymutualagreement,whereupontherevisedSchedulesAandB,signedbythe
