1、TrademarkLicensingAgreementRev.2013商标使用许可协议(2013版)TRADEMARKLICENSINGAGREEMENT商标使用许可协议Licensor:许可方:Licensee:GuangdongXinbaoElectricalAppliancesHoldingsCo.,Ltd被许可方:广东新宝电器股份有限公司WhereasLicensorownscertainvaluableregisteredtrademarks;andLicenseeneedtoutilizethetrademarkuponandinconnect

2、ionwiththemanufacture,saleanddistributionoftheContractProductsinOEMprocessingforLicensoranditsassignedparties;Bothpartiesauthorizedrepresentatives,throughfriendlynegotiation,agreetoenterintothisContractunderthetermsasstipulatedbelow.鉴于许可方拥有一定价值并经注册的商标，且被许可方需要在为许可方及许可方授权方进行OEM贴牌代工和

3、向许可方及许可方授权方出口OEM产品时使用该商标，双方授权代表经友好协商，达成如下协议:1.LicenseGrant使用许可1.1TheLicenseeagreetoobtainfromLicensor,andLicensoragreetograntLicenseetherighttoutilizetheRegisteredTrademarkinAppendix1solelyandonlyuponandinconnectionwiththemanufacture,saleanddistributionoftheContractProductsinOEMpr

4、ocessingforLicensoranditsassignedparties.被许可方同意从许可方取得，许可方同意向被许可方授予单独使用附件1所指的注册商标的权利，且只在为许可方进行OEM贴牌代工和向许可方及许可方授权主体出口OEM产品时使用。1.2Thename,model,specificationandtechnicalnoticesoftheContractOEMProductsaredetailedinAppendix2.协议OEM产品的名称、型号、规格和技术参数详见本协议附件2。1.3Thelicenseandrightarenon-exc

5、lusiveanduntransferable.此许可是非独占性的、不可转让的。1.4Notwithstandingtheaforesaid,thepurchaseofcomponentsfromvendororsubcontractorbyLicenseefortheContractProductsshallnotbeconsideredviolationofthisAgreement.尽管本协议前述规定如此，被授权方向其供应商或分包商购买产品零部件的行为不应被视为违约行为。2.LicenseTerm许可期限2.1Thetermofthelicenseh

6、erebygrantedshallbeeffectiveonandshallcontinueuntil.许可使用的期限自起至止。2.2ThisLicenseshallbeautomaticallyrenewedforaoneyeartermunlesseitherpartyheretoshallbegivenwrittennoticetothecontraryatleastthirty(30)dayspriortotheexpirationdate.本许可协议在每一个有效期末自动续展一年，除非一方在协议到期前30天书面通知另一方终止协议的执行。3.Regi
