4、.4ThisAgreementspecificallyincludesAppendixC.1,BusinessPlanandAppendixC.2,SampleReportingForm.1.5ExceptasprovidedinArticle13,thelicensewillrunthroughtheTermofthisAgreement.ARTICLE2DEFINITIONS2.1"Exclusive"meansthat,subjecttoArticle4,Licensorwillnotgrantfurth
5、erlicensesundertheLicensedPatentsintheLicensedFieldofUseintheLicensedTerritory.2.2"FullyDilutedBasis"meansthetotalnumberofsharesofLicensee’sissuedandoutstandingcommonstock,assuming:(A)theconversionofallissuedandoutstandingsecuritiesconvertibleintocommonstock
6、;(B)theexerciseofallissuedandoutstandingwarrantsoroptions,regardlessofwhetherthenexercisable;and(C)theissuance,grant,andexerciseofallsecuritiesreservedforissuancepursuanttoanyLicenseestockorstockoptionplanthenineffect.2.3"LicensedFieldofUse"means____________
