1、ExclusiveAgencyAgreementThisagreementismadeandenteredintobyandbetweenthepartiesconcernedoninBeijing,Chinaonthebasisofequalityandmutualbenefittodevelopbusinessontermsandconditionsmutuallyagreeduponasfollow:1.ThePartiesConcernedPartyA:PartyB:2.AppointmentPartyAherebyappointsPa
2、rtyBasitsExclusiveAgenttosolicitordersoftheproductstipulatedinArticle3fromcustomersintheterritorystipulatedinArticle4,andPartyBacceptsandassumessuchappointment.3.Products4.TerritoryInPeople’sRepublicofChina(Mainlandonly)5.MinimumturnoverPartyBshallundertaketosolicitordersoft
3、heaboveproductsfromcustomersintheaboveterritoryduringvalidityofthisagreementfornotlessthanUSD.6.PriceandPaymentThepriceforeachorderofthePRODUCTS,accordingtothepricingsetoutintheattachedExhibitA.Confirmed,irrevocableL/CisopenedbythePartyBinfavorofPartyAforthefullamountofallpa
4、ymentsunderthisagreementatthetimeoftheordershallmakepayment.7.ExclusiveRight1)Inconsiderationoftheexclusiverightsgrantedherein,PartyAshallnot,directlyorindirectly,sellorexporttheproductsstipulatedinArticle4tothethirdpartyinMainlandChinathroughchannelsotherthanPartyB;PartyBsh
5、allnotsell,distributeorpromotethesalesofanycompetitiveorsimilarproductsinMainlandChinaandshallnotsolicitoracceptordersoutsideMainlandChina.PartyAshallrefertoPartyBanyenquiriesorordersfortheproductsinquestionreceivedbyPartyAfromotherfirmsinChinaMainlandduringthevalidityofthis
6、agreement.2)PartyBagreesnottodiscloseanyconfidentialinformationandinventionsofPartyA(the"SUBJECT")including,butnotlimitedto,proprietaryinformation,know-how,tradesecrets,andideaspossessedandownedbythePartyArelativetothePRODUCTSandmethodsofusingthePRODUCTS.PartyBagreesthatallw
7、ritings,drawings,and/orphotographsabovetheSUBJECTwhichhavebeenormaybesubmittedtoPartyB,includinganypatentapplicationscurrentlypendingortobefiledbyPartyAregardingtotheSUBJECT,willremainthepropertyofPartyA,andPartyBwillreturnallsuchprototypes,writings,drawings,and/orphotograph
