2、.1.BACKGROUND1.1.WHEREAS,byassignmentofrightsfromVAemployeesandotherinventors,onbehalfoftheU.S.Government,VAownedintellectualpropertyrightsclaimedinanyUnitedStatesand/orforeignpatentapplicationsorpatentscorrespondingtotheassignedinventions.1.2WHEREAS,VA,pursuantto15UnitedStatesCode(U.S.
3、C.)§3701etseq.,35U.S.CSections§200-210,and37CodeofFederalRegulations(CFR),ChapterIV(togetherwithanyamendmentsandunderlyingrulesandregulations,hascustodyofinventionsdescribedandclaimedin,andtherighttoissuelicensesunderthe“LICENSEDPATENTRIGHTS.”1.3WHEREAS,VAdesires,inthepublicinterest,tha
4、tthesubjectinventionbeperfected,marketed,andpracticedsothatthebenefitsarereadilyavailableforwidestpublicutilizationintheshortesttimepossible,and1.4WHEREAS,LICENSEErepresentsthatithasthefacilities,personnel,andexpertisetobringandiswillingtoexpendreasonableeffortstobringtheLICENSEDPATENTR
5、IGHTStothepointofPRACTICALAPPLICATIONasdefinedin37CFR404.3(d)atanearlydate;NOWTHEREFORE,inconsiderationofthepremisesabove,includingtheabove-citedauthority,andthemutualpromisesandobligationshereinaftersetforth,VAandLICENSEE,doherebyagreeassetforthbelow:.2.DEFINITIONS2.1“Affiliate”means:A
6、nycorporation,company,partnership,jointventureand/orfirmwhichcontrols,iscontrolledbyorisundercommoncontrolwithLICENSEE.AsusedinthisParagraph,“control”means(a)inthecaseofcorporateentities,directorindirectownershipofatleastfiftypercent(50%)ofthestockorshareshavingtherighttovotefortheelect
7、ionofdirectors,and(b)inthecaseofnon-corporateentities,directorindirectownershipofatleastfiftypercent(50%)oftheequityinterestwiththepowertodirectthemanagementpoliciesofsuchnon-corporateentities.Unlessotherwisespecified,thetermLICENSEEincludesAFFILIATES.2.2“Benchmarks”meantheperf
