1、ASSIGNMENTOFLICENSETHISASSIGNMENTOFLICENSE,madethis*thdayofJune,20**,byandbetween***.,(hereinaftercalled"Assignor")and***.,(hereinaftercalled"Assignee")and***,(hereinaftercall"Licensor");WITNESSETH:WHEREAS,onoraboutthe*dayofJuly,20**,AssignorenteredintoaLic
2、enseAgreementwithLicensor,acopyofwhichisattachedheretoasExhibit"A"andincorporatedhereinbyreference(hereinafterthe"License");andWHEREAS,AssignordesirestoassigntoAssigneeallofitsright,title,andinterestasLicenseeundertheLicense,andAssigneedesirestoacceptsuchas
3、signmentandassumealloftheobligationsundertheLicense;andWHEREAS,LicensordesirestojoininthisAssignmentofLicenseforthepurposeofgivingtheirconsenttothisassignment.NOW,THEREFORE,inconsiderationofTenDollars($10.00)andothergoodandvaluableconsiderationassetforthina
4、separateagreementbetweentheAssignorandtheAssignee.Assignordoesherebygrant,convey,assign,transferandsetoveruntotheAssignee,hissuccessorsandassignsallofitsright,titleandinterestinandtothatcertainLicenseattachedheretoasExhibit"A"andincorporatedhereinbyreferenc
5、e.TOHAVEANDTOHOLDthesameuntotheAssignee,itssuccessorsandassignsfromthisdate,subjecttothecovenants,conditionsandprovisionsthereinalsomentionedandsubjecttothefollowingtermsandconditions:1.TheAssignorherebycovenantsthattheattachedLicense(Exhibit"A")representst
6、heentireagreementbetweentheAssignorandtheLicensor,andthesaidLicenseisinfullforceandeffect,andthesaidLicensehasnotbeenassigned,modified,supplementedoramendedinanyway.2.ByexecutionofthisAgreement,Assigneeherebyrepresentsithasreadandunderstandsalltermsandcondi
7、tionsoftheLicenseandcovenantsthatitacceptstheforegoingassignmentandtransferandagreestopayallroyaltiesandtofaithfullyperformallcovenants,stipulations,agreementsandobligationsundertheLicenseaccruingonorafterthedateofthisAssignment.3.Notwithstandinganythingint
8、heLicensetothecontrary,oranythinginsaidAssignmenttothecontrary,iftheLicenserequiresLicensortogivewrittennoticetoAssigneeundertheLicense,Licensorshallberequiredhenceforthtogivesuchwrittennoticetothefoll
