3、y,datedasofMarch**,20**,whichasrecentlyamendedandrestatedandthenfurtheramendedasofevendateherewithimmediatelypriortogivingeffecttothisAgreement,remainsinfullforceandeffect(asamended,amendedandrestatedorotherwisemodifiedtothedatehereof,the"SatellitePurchaseContract");WHEREAS,Assi
4、gnordesirestotransferandassigntoAssigneeitsrights,dutiesandobligationsundertheSatellitePurchaseContractwithrespecttotheGroundSpareSatelliteBus(asdefinedbelow),butnotwithrespecttotheGroundSpareSatellitePayload(asdefinedbelow)oranyotherSatelliteorportionthereof,asmorefullysetforth
5、onSCHEDULEAhereto(the"Assets");WHEREAS,AssigneedesirestoacquiretheAssetsfromAssignorfortheconsiderationsetforthbelowandonthetermsandconditionshereinaftersetforth;WHEREAS,AssignordesirestobedischargedfromtheperformanceoftheobligationsenumeratedintheSatellitePurchaseContractwithre
6、specttotheAssetsandtoretainallrights,dutiesandobligationsundertheSatellitePurchaseContractwithrespecttotheGroundSpareSatellitePayloadandXM-1andXM-2;WHEREAS,BSSIiswillingtoreleaseAssignorfromtheobligationsenumeratedintheSatellitePurchaseContractonlywithrespecttotheAssetsandtocons
