3、ivelyreferredtoas"CCC").RECITALSA.Thepartiesintendthat,subjecttothetermsandconditionsofthisAgreement,AAAwillacquire100%oftheissuedandoutstandingsharecapitalofCCCfromtheCCCShareholderpursuanttothetermsandconditionssetforthhereininexchangeforsharesofAAACommonStock.B.U
4、pontheeffectivenessoftheExchange(asdefinedbelow),alltheissuedandoutstandingsharesofCCCwillbetransferredtoAAAinexchangeforsharesofAAACommonStock.C.TherepresentationsandwarrantiesoftheCCCShareholderhereinareamaterialinducementtoAAAtoenterintothisAgreement.D.Theparties
