3、as“Parties”WhereasSiPMwishestoacquirethesupplyoftheproductsdefinedbelowandwhereasSellerwishestosupplyanddeliversuchproductstoSiPM.SiPMandSellerrespectivelyagreetothefollowing:1.SUPPLYOFPRODUCTS1.1DuringthetermofthisAgreementandanyextensionhereof,theSellershallse

4、llandsupplytheproductsassetoutinSchedule1hereto(“Products”)toSiPMandSiPMshallbuyfromtheSellersuchProductsonanon-exclusivebasis.1.2ThespecificationsoftheProductsaresetoutinSchedule2hereto.1.3SellershallprovidetoSiPMthetechnicalinformationandmaterialinregardtotheP

5、roductsassetoutinSchedule3hereto.2.ORDERS2.1EachpurchaseandsalebetweenSiPMandSellershallbeevidencedbyanorderplacedbySiPM(“Order”orinplural“Orders”)toSellerinaccordancewiththetermsandconditionsofthisAgreementandtheSellerCompanyshallacceptsuchOrdersinwritingwithin

6、2workingdaysafterreceiptoftheOrder.IftheSellerCompanydoesnotsendawrittenorderconfirmationwithin2workingdaysafterreceiptoftheOrder,theOrdershallbedeemedtobeacceptedbytheSellerCompany.AslongasthisAgreementisinforceandeffectthetermsandconditionsofthisAgreementshall

7、applytoallOrdersandallorderconfirmationsofSeller.2.2OrdersshallbeplacedbySiPMtoSellerinwriting(including,withoutlimitation,bye-mail,fax,letter).EachOrdershallcontain(a)theProductsandthequantityofeachProductorderedbySiPM,(b)thepriceand6TMPContractDeliveryofGoodsV
