1、INTERNATIONALUNIFORMEFPTRANSACTIONSAGREEMENT:CUSTOMERVERSION2006ThisAgreementmadethisdayof,20,byandamong(“Cusiomer'J,(''Dealei'"),and(“Customer'sClearingBroker^).WHEREAS,CustomerandDealereachdesirestoenterintoexchangeforphysicaltransactions("EFPTransactions^)withtheotherasprincipal;WHEREAS,Custo
2、merdesiresitsfuturespositionsresultingfromsuchEFPTransactionstobeclearedbyCustomer'sClearingBroker;andWHEREAS,CustomersClearingBrokerdesirestoenterintothisAgreementpursuanttowhichitwillperformitsclearingfunctiononthetermsandsubjecttotheconditionsstatedbelow;NOW,THEREFORE,thepartiesagreeasfollows
3、:1.AllEFPTransactionsenteredintoandclearedhereundershallbetransactedinaccordancewithandsubjecttoapplicabledomesticandforeignlaws,governmental,regulatory,sclf-rcgulatory,exchangeorclearinghouserules,regulations,interpretations,protocols,andthecustomsandusagesoftheexchangeorclearinghouseonwhichthe
4、futuressideofsuchEFPTransactionsarecleared,asinforcefromtimetotime("ApplicableLaw”).Alldisputesrelatingtotransactionsenteredintoand/orclearedunderthisAgreementshallbegovernedbyandresolvedpursuanttoApplicableLawandshallbesubjecttothejurisdictionoftheexchange(and,ifapplicable,itsclearinghouse)upon
5、whichthedisputearises.ThepartiestothisAgreementshallperformtheirrespectiveobligationsandexercisetheirrespectiverightsunderthisAgreementusingcommerciallyreasonablejudgement,inacommerciallyreasonablemannerunderthecircumstances,andconsistentwithApplicableLaw.WithrespecttoeachEFPTransaction,eachofth
6、epartiesshallcreate,maintainand/orprovideuponrequestalldocumentsrequiredbyApplicableLaw,including,butnotlimitedto,thedocumentsrelatingtothecashtransactioninthephysicalcommodityunderlyingthefuturestransaction.2.CustomerrepresentsandwarrantsthatCustomer(i)isauthorizedtoenterintoEFPTransactions;and
7、(ii)isdulyauthorizedtoenterintothisAgreement.3.Unlessotherwiseagreedinwriting,CustomerauthorizesDealerandCustomer'sClearingBrokertousetheservicesofoneormoreotherpersonsorentitiesinconnectionwiththeirobligationsunderthisAgree
