1、ContractsManagementProceduresChapterIGeneralProvisionsArticle1TheseProcedureshavebeenformulatedinaccordancewiththeprovisionsoftheP.R.CContractLawandotherrelevantlawsandregulationsinconjunctionwiththeactualconditionsofthecompanyinordertomakethecontractsmanagementoftheCompanystandardize

2、dandproceduraltoimprovethequalityandefficiencyofcontractsmanagementandtoprotectthelawfulrightsandinterestsoftheCompany.Article2Contractsmanagementreferredtohereinmeansaseriesofsuchactivitiesastheplanning,organization,control,mediation,litigationandsupervisionandinspectionbytheCompanya

3、sasubjecttotheeconomiclegalrelationshippursuanttolaw,inrelationtothesignature,performance,modificationandrescissionofanddisputesovercontracts.Article3Contractsmanagementshallbesubjecttothemanagementsystemintegratingtheassumptionoftheresponsibilityforcontractsmanagementbythepersonshand

4、lingcontractsanddepartmentmanagers,thereviewofcontractsbylegalcounselsandtheexaminationandapprovalthereofbytheleaders.Article4TheseProceduresshallapplytovariousdepartmentsofthecompanyandallbranchesthereof.ChapterIISignatureofContractsArticle5Signatureofcontractsmustcomplywithstatelaws

5、,regulationsandpoliciesundertheprinciplesofequalityandmutualbenefit,consensusthroughconsultationsandmakingcompensationforequalvalueinordertoprotecttheinterestoftheCompany.Nocontractsmaybesignedillegally,andnocontractstothedisadvantageofcompanymaybeenteredinto.Article6Beforeenteringint

6、oacontract,weshallknowofinallrespectssuchconditionsasthecooperatingparty’screditworthinessandcapabilitytoperformthecontracttobeenteredinto.Nocontractsmaybeenteredintowithentities/individualswithoutgoodcreditworthinessandthecapabilitytoperforminvestigationsonthecooperatingparty’scredit

7、worthinessandcapabilitytoperformacontractincludebutarenotlimitedto:1.Itsbusinesslicenseandotherlicenseifitisinalicensedoperationindustryandstatusofannualinspectionbyindustrialandcommercialauthorities;2.Itseconomictypeandarticlesofassociation;3.Theinformationontheopeningofitsbasicaccou
