2、ME](the"ReceivingParty"),anindividualwithhismainaddresslocatedatORacorporationorganizedandexistingunderthelawsofthe[State],withitsheadofficelocatedat:[COMPLETEADDRESS]WHEREAS,inordertopursuethemutualbusinesspurposeofapossibletransactionbetweenDisclosingPartyandReceivingPartyand
3、/ortheiraffiliates(the"Transaction"),bothDisclosingPartyandReceivingPartyrecognizethatthereisaneedtodisclosetooneanothercertaininformationinrespectofitselfand/oritsaffiliates.WHEREAS,allsuchinformation,deliveredbyoronbehalfofonepartyand/oritsaffiliates(the"DisclosingParty")toth
4、eotherparty(the"ReceivingParty")and/oritsRepresentatives(asdefinedbelow),whetherfurnishedbeforeorafterthedateofthisAgreementandregardlessofthemannerinwhichitisfurnished,togetherwithallanalyses,compilation®studiesorotherdocumentsorrecordspreparedbytheReceivingPartyand/oritsRepre
5、sentativestotheextentsuchanalyses,compilation®studies,documentsorrecordscontain,otherwisereflect,oraregeneratedfromsuchinformation,isreferredtohereinas"EvaluationMaterial".NOW,THEREFORE,inconsiderationoftheopportunitytoconsidersuchEvaluationMaterial,bothpartiesherebyagreeasfoll
6、ows:1.NON-DISCLOSUREOFEVALUATIONMATERIALTheEvaluationMaterialwillbeusedbytheReceivingPartysolelyforthepurposeofevaluatingtheTransaction.SuchEvaluationMaterialwillbekeptstrictlyconfidentialbytheReceivingParty,exceptthattheEvaluationMaterialoranyportionthereofmaybedisclosedtoaffi
7、liates,directors,officers,employees,advisors,attorneys,agents,controllingperson®potentialbiddingpartnersandfinancingsourcesorotherrepresentatives(each,a"Representative：andcollectively,the"Representatives")oftheReceivingPartywhoneedtoknowsuchinformationforthepurposeofevaluatingt
