5、videservicestoCompanyhereunder(zAgents'),onitsownbehalfandonbehalfofallexistingandfutureAffiliatedCompanies(definedasanycorporationorotherbusinessentityorentitiesthatdirectlyorindirectlycontrols,iscontrolledby,orisundercommoncontrolwiththeCompany),andConsultant
6、desirestoprovideconsuitingservicestotheCompanyuponthefollowingtermsandconditions.1.4TheCompanyhasspentsignificanttime,effort,andmoneytodevelopcertainProprietaryInformation(asdefinedbelow),whichtheCompanyconsidersvitaltoitsbusinessandgoodwill.1.5TheProprietaryIn
7、formationwillnecessarilybecommunicatedtooracquiredbyConsultantanditsAgentsinthecourseofprovidingconsultingservicestotheCompany,andtheCompanydesirestoobtaintheservicesofConsultantgoodwill.2ServicesConsultantagreestoperformforCompanytheserviceslistedintheScopeofS
