1、AgreementbetweentheFederalRepublicofGermanyandthePeople'sRepublicofChinaontheEncouragementandReciprocalProtectionofInvestmentsTheFederalRepublicofGermanyandthePeople'sRepublicofChina(hereinafterreferredtoasthe"ContractingParties"),Intendingtocreatefavourableco
2、nditionsforinvestmentbyinvestorsofoneContractingPartyintheterritoryoftheotherContractingParty,Recognizingthattheencouragement,promotionandprotectionofsuchinvestmentwillbeconducivetostimulatingbusinessinitiativeoftheinvestorsandwillincreaseprosperityinbothState
3、s,DesiringtointensifytheeconomiccooperationofbothStates,Haveagreedasfollows:Article1DefinitionsForthepurposeofthisAgreement1.theterm"investment"meanseverykindofassetinvesteddirectlyorindirectlybyinvestorsofoneContractingPartyintheterritoryoftheotherContracting
4、Party,andinparticular,thoughnotexclusively,includes:(a)movableandimmovablepropertyandotherpropertyrightssuchasmortgagesandpledges;(b)shares,debentures,stockandanyotherkindofinterestincompanies;(c)claimstomoneyortoanyotherperformancehavinganeconomicvalueassocia
5、tedwithaninvestment;(d)intellectualpropertyrights,inparticularcopyrights,patentsandindustrialdesigns,trade-marks,trade-names,technicalprocesses,tradeandbusinesssecrets,know-howandgood-will;(e)businessconcessionsconferredbylaworundercontractpermittedbylaw,inclu
6、dingconcessionstosearchfor,cultivate,extractorexploitnaturalresources;anychangeintheforminwhichassetsareinvesteddoesnotaffecttheircharacterasinvestments;2.theterm"investor"means(a)inrespectoftheFederalRepublicofGermany:–GermanswithinthemeaningoftheBasicLawfort
7、heFederalRepublicofGermany,–anyjuridicalpersonaswellasanycommercialorothercompanyorassociationwithorwithoutlegalpersonalityhavingitsseatintheterritoryoftheFederalRepublicofGermany,irrespectiveofwhetherornotitsactivitiesaredirectedatprofit;(b)inrespectofthePeop
8、le'sRepublicofChina:–naturalpersonswhohavenationalityofthePeople'sRepublicofChinainaccordancewithitslaws,–economicentities,includingcompanies,corporations,associations,partnerships
