1、都会影响解决公司僵局的方法，因笔者认识有限，故只就两个方面提出建议。笔者认为可以在公司章程中写入利害关系股东或董事的表决权回避制度来有效预防公司僵局的发生，在公司章程中写入清购制度来有效打破公司僵局，从而将可能因公司僵局而给公司产生的危害降到最低。虽然笔者尝试在参考国内外公司章程制度的研究成果的基础上，对公司章程法律问题进行探究，但是一个现实的问题就是，笔者手中所握资料有限，加上法学理论水平的限制，使得文章存在很多不足之处。即便如此，笔者还是希望通过对公司章程制度的研究，能够引起更多的人关注公司章程，理论界还是实
