1、AbstractAbstractExecutivecompensationisthefocusofthesocietyinrecentyears.Theresearchofthisthemeisincreasing,especiallyaftertheissueoftheinternalcontrolsystem.PriorresearchshowsthatChineselistingcorporationexecutivecompensationisgenerallytiedtoperformance.Buttherealsohavethephenomenonofweakconnectio
2、nbetweenexecutivecompensationandperformance;thephenomenonofasymmetrybetweenexecutivecompensationanddifferentpartofperformance,forexample,therelevanceofexecutivecompensationandrisingperformanceisgreaterthantheexecutivecompensationanddecliningperformance.Somescholarsevenfoundthattheexecutivecompensat
3、ionhadonconnectionwithperformance,manifestingas“skyhighsalary”and“zerosalary”.Thesephenomenacan’tbeexplainedbythetheoryofoptimalcontract.Thispapertriedtoexplaintheseabnormalcompensationfromtheperspectiveofmanagerialpower,takingChina'sShanghaiandShenzhenASharesthemainboardoflistingcorporationfrom201
4、0to2012assamples,whichstudiedtherelationshipbetweenmanagerialpowerandexecutivecompensation.Fromthepointofmanagerialpowertheory,executiveshavetheabilitytobargain.Theycancanvasstheboardofdirectorssoastobuiltawincompensationtreatyforthemselves.Bythismeans,executivescapturemorebenefit.Thispapermadeanem
5、piricaltestontherelationshipofmanagerialpowerandexecutivecompensation.Wefoundthatmanagerialpowercanimprovethelevelofexecutivecompensation.Withthedevelopmentofinternalcontrolsystemandtheinternalcontrolquality,internalcontrolplaysanimportantparttoregulateexecutives'rent-seekingbehaviorontheexecutivec
6、ompensation.Inthiscase,whetherinternalcontrolcanweakentheinfluenceofmanagerialpowertoexecutivecompensation.Thispapermadeanempiricaltest,wefoundthatinternalcontroldoesnotweakentherelationshipbetweenmanagerialpowerandexecutivecompensation.ThismayberelatedtothelowenforcementofChina'slistingcorporation
