1、摘要股权激励在我国起步较晚，自2006年才得到了法律意义上的最终确认。而我国自股权激励出现以来，已有接近1/3的企业终止了股权激励计划。那么，是什么原因使企业终止了股权激励，终止股权激励对公司绩效有着怎样的影响，影响程度又和激励终止的相关变量存在何种关系？本文以我国终止股权激励计划的A股上市公司为主要样本，研究终止股权激励的相关变量、终止与否对公司绩效的影响，丰富了股权激励现状的研究内容，为我国今后进一步规范股权激励制度提供了从理论到数据方面的依据。文章首先界定了股权激励的相关概念，并分析了其理论基础；然后，根据国泰

2、安数据库和巨潮资讯网发布的数据及信息，选用2008年到2010年期间发布终止股权激励公告的66家A股上市公司为主要研究样本，同时选取60家成功实施股权激励计划的公司作为对比样本，通过多元线性回归模型进行实证分析，验证股权激励是否终止、终止原因及终止时间对公司绩效的影响，最终得出如下结论：一是终止股权激励计划会使企业绩效降低；二是终止原因不同对公司绩效的影响不同，且法律法规因素影响较大；三是终止时间不同，公司绩效没有明显不同。根据研究结果，显示出了我国上市公司股权激励在内部、外部两方面尚存在的一些问题。本文进一步针对这
