1、毕业论文（20__届）民营企业跨国并购动因及整合战略探析2摘要在世界经济全球化、区域经济一体化的趋势下，跨国公司为加强其国际竞争力和推行全球经营战略，在全球范围掀起了一场规模宏大、影响深远的并购浪潮，跨国并购作为世界各国对外直接投资的方式之一，逐渐替代了跨国新建而成为了跨国投资的主导方式。受其影响，我国也掀起了一股海外并购浪潮，并且并购规模也屡破纪录。尽管在并购的规模上我国民营企业还无法与发达国家的企业相比，但是越来越多的中国民营企业开始把跨国并购作为对外直接投资、开拓国际市场的新策略。产业结构的调整需要、

2、国内资金的大量闲置和人民币的升值压力促使我国企业纷纷走出国门进行大规模的海外并购。各项数据显示，我国企业海外并购浪潮己然形成。在总结国内外跨国并购研究成果的基础上，本文对我国企业的海外并购背景、动因和整合进行了系统的梳理，并通过对慈星集团海外并购案例分析，对海外并购过程和整合过程中遇到的实际问题进行探讨，从海外并购的动因和整合方面，对我国中小民营企业进行海外并购提出了对策建议。关键词：民营企业；跨国并购；并购动因；整合战略2AbstractUnderthetrendofworld’seconomicglob
