1、实用我国上市公司治理结构存在的问题及解决途径 摘要上市公司是经济时代的推动产物，中国的市场经济正是如火如荼发展期。近几年，国内上市公司陆续出现的问题已经暗示了必须找出一种属于中国国情与政体的特色治理模式, 文章从公司治理基本概念、理念、原则入手，通过分析我国上市公司治理结构的现状，探讨我国上市公司治理结构中存在的主要问题，即一股独大问题、董事会独立性问题、监事会监督机能缺位问题、经营者激励机制扭曲问题、信息披露失范问题等，并运用案例分析研究，进而从六个方面提出完善上市公司治理结构的法律对策，即：健全上市公司治理结构法律体系；优化股权结构；完善董事会制度；完善监督制约机制；推行股票期权制度；完
