1、CONFIDENTIALITYAGREEMENTThisConfidentialityAgreement(hereinafterreferredtoasthe“Agreement”)isenteredintobyandbetweenthefollowingparties:1.PreparatoryGroupforRestructuringandResuming[],havingitsofficeat[],Guangzhou,China(hereinafterreferredtoas“PartyA”);and2.[Nameofthepotent
2、ialinvestor],(hereinafterreferredtoas“PartyB”).PartyAandPartyBarecollectivelyreferredtoasthe“Parties”andindividuallyreferredtoasa“Party”asthecontextmayrequire.Whereas:[](hereinafterreferredtoasthe“TargetBank”)intendstorestructureandintroducelocalandforeigninvestors(hereinaf
3、terreferredtoasthe“RestructuringProject”),PartyAisinchargeofrestructuringtheTargetBank,andPartyBintendstoinvestandacquiresharesintheTargetBank(hereinafterreferredtoasthe“Transaction”),andPartyAwillprovideordiscloserelevantmaterialandinformationconcerningtheRestructuringProj
4、ecttoPartyBforthepurposeofPartyB’sevaluationoftheTransaction.Nowtherefore,PartyAandPartyB(hereinaftercollectivelyreferredtoasthe“Parties”)agreeasfollowsinrelationtotheconfidentialinformationtobedisclosedbyPartyAtothePartyBfortheaforesaidpurpose.1.ForthepurposeofthisAgreemen
5、t,“ConfidentialInformation”includesbutisnotlimitedto:(i)anyinformationprovidedordisclosedbyPartyA,hisofficers,employees,representatives,agents,agenciesorrepresentativesofagencies(hereinafterPage7of7collectivelyreferredtoasthe“PartyARepresentatives”)toPartyB,anyofhisaffiliat
6、es,theirrespectiveshareholders,directors,officers,employees,representatives,agents,agenciesorrepresentativesofagencies(hereinaftercollectivelyreferredtoasthe“PartyBRepresentatives”),suchasfinancialinformation,data,restructuringplan,restructuringarrangement,investmentoffer,o
7、rganizationframeworkandcorporatestructureoftheTargetBank,businessplans,tradesecrets,technicalsecrets,proprietaryintellectualproperty,proprietarycomputersoftware,computationalmethodologiesanddecisionalanalysis,facilities,costs,operationsandmaintenanceprocedures,strategic,tac
