1、CONFIDENTIALITYAGREEMENTThisConfidentialityAgreement(hereinafterreferredtoasthe“Agreement”)isenteredintobyandbetweenthefollowingparties:1.PreparatoryGroupforRestructuringandResuming[],havingitsofficeat[],Guangzhou,China(hereinafterreferredtoas“PartyA
2、”);and2.[Nameofthepotentialinvestor],(hereinafterreferredtoas“PartyB”).PartyAandPartyBarecollectivelyreferredtoasthe“Parties”andindividuallyreferredtoasa“Party”asthecontextmayrequire.Whereas:[](hereinafterreferredtoasthe“TargetBank”)intendstorestruct
3、ureandintroducelocalandforeigninvestors(hereinafterreferredtoasthe“RestructuringProject”),PartyAisinchargeofrestructuringtheTargetBank,andPartyBintendstoinvestandacquiresharesintheTargetBank(hereinafterreferredtoasthe“Transaction”),andPartyAwillprovi
4、deordiscloserelevantmaterialandinformationconcerningtheRestructuringProjecttoPartyBforthepurposeofPartyB’sevaluationoftheTransaction.Nowtherefore,PartyAandPartyB(hereinaftercollectivelyreferredtoasthe“Parties”)agreeasfollowsinrelationtotheconfidentia
5、linformationtobedisclosedbyPartyAtothePartyBfortheaforesaidpurpose.1.ForthepurposeofthisAgreement,“ConfidentialInformation”includesbutisnotlimitedto:(i)anyinformationprovidedordisclosedbyPartyA,hisofficers,employees,representatives,agents,agenciesorr
6、epresentativesofagencies(hereinafterPage7of7collectivelyreferredtoasthe“PartyARepresentatives”)toPartyB,anyofhisaffiliates,theirrespectiveshareholders,directors,officers,employees,representatives,agents,agenciesorrepresentativesofagencies(hereinafter
7、collectivelyreferredtoasthe“PartyBRepresentatives”),suchasfinancialinformation,data,restructuringplan,restructuringarrangement,investmentoffer,organizationframeworkandcorporatestructureoftheTargetBank,businessplans,tradesecrets,technicalsecrets,propr
8、ietaryintellectualproperty,proprietarycomputersoftware,computationalmethodologiesanddecisionalanalysis,facilities,costs,operationsandmaintenanceprocedures,strategic,tacticalandnegotiatinginformation,andanyotherinformationinrelationtotheRestructuringP
