1、FINANCINGFEEAGREEMENT融资佣金协议THISAGREEMENTenteredintothis[]dayofSeptember,2012byandbetweenA(“Consultant”)havingofficeslocatedinNewYork,and[].(the“Company”)havingofficeslocatedat,[inChina].本协议是2012年9月订立的协议，是由办事处设在纽约的展望资本风险投资公司（“顾问公司”），与办事处设在中国的“融资公司”之间签订。WHEREAS,theCompanydesirestoobtain

2、financingbythepledgeofcertainofitsassets;and鉴于，融资公司希望用其若干资产来抵押取得融资;并且WHEREAS,theCompanyhasrequestedConsultanttoseekLendersthatmayoffertoprovidethisfinancingfortheCompany;and鉴于，融资公司已要求顾问公司寻求可向融资公司提供融资的贷款人；WHEREAS,TheCompanyherebyengagesandauthorizesConsultantasitsauthorizedagenttodevel

3、opandsecuredebtfinancingofalloraportionoftheCompanyAssets,includingACCOUNTSRECEIVABLE/PURCHASEORDERS/MACHINERY&EQUIPMENT/INVENTORY.ConsultantwilluseitsbesteffortstosecureandprovidefinancingoftheCompany’sAssetsthroughConsultant’sfundingsources.鉴于，融资公司现认可和授权顾问公司作为其代理人发展和保护融资公司的全部或部分资产债务

4、，包括应收账款/采购订单/机械及设备/库存的债务,顾问公司会尽其最大的努力，以确保与通过顾问公司的资金来源为融资公司的资产进行融资。WHEREAS,ThisAgreementshallhaveanexclusivetermof120daysfromthedateofthereceiptofanyandalldocumentationthattheCompanycandiscloseasrequestedbyConsultantortheproposedLenderorInvestor(“FundingSource”).Itremainstheresponsibil

5、ityoftheCompanytoprovidethedocumentationrequestedonacommerciallyreasonablebasis,understandingthatthetimelinessandreceiptofsuchdataiscrucialtothedevelopmentofaprudentlendingfacilityorfundingsourcefortheCompany.SubsequenttothisperiodoftimeandbasedonthesuccessfulfundingbyaConsultantLende

6、racceptedandreceivedbytheCompany,theCompanywillprovidetoConsultantaRightofFirstRefusal(ROFR)onanyadditionaldebtfundingrequirementforaperiodequaltotheInitialTermoftheoriginalfacility,thattermisnottoexceedathreeyearterm.TheCompanyagreesnottoengagewithanotherFinancingAgentduringthe120Day

7、periodasdetailedabove.ThisagreementshallapplyforanyInvestmentmadebyaFundingSourceduringaperiodofoneyearfromthedateofsuchintroductionandanyInvestmentmadepursuanttoanycommitmentmadeby,oranyright,optionorwarranttomakeanInvestmentgrantedto,aFundingSourcewithinoneyearafterthedateofsuchintr
