1、財團法人中華民國證券櫃檯買賣中心外幣計價國際債券管理規則GreTaiSecuritiesMarketRulesGoverningManagementofForeign-denominatedInternationalBonds第一章總則Chapter1:GeneralPrinciples第1條Article1本管理規則依證券商營業處所買賣有價證券管理辦法第七條及第八條規定訂定之。TheseRulesareadoptedpursuanttoArticles7and8oftheRegulationsGoverningTradingofSecuritiesonOver-

2、the-CounterMarkets.第2條Article2本管理規則未規定者，適用本中心業務規則及相關法令規定。MattersforwhichtheseRulesmakenoprovisionshallbegovernedbytheGreTaiSecuritiesMarket(GTSM)RulesGoverningSecuritiesTradingonOver-the-CounterMarketsandotherapplicableactsandregulations.第二章櫃檯買賣審查Chapter2:OTCTradingReview第3條Article3本管

3、理規則所稱國際債券，係指以外幣計價之下列有價證券：ForthepurposesoftheseRules,"internationalbond"meansoneofthefollowingforeign-denominatedsecurities:一、經行政院金融監督管理委員會（以下簡稱主管機關）依證券交易法第二十二條第一項核定之國際組織債券及外國發行人發行之普通公司債。1.AstraightcorporatebondapprovedbytheFinancialSupervisoryCommission("thecompetentauthority")oftheEx

4、ecutiveYuanpursuanttoArticle22,paragraph1oftheSecuritiesandExchangeAct.二、本國及外國發行人募集與發行或私募之普通公司債。2.Astraightcorporatebondofferedandissued,orprivatelyplaced,byadomesticorforeignissuer.三、本國金融機構發行之金融債券。3.Afinancialbondissuedbyadomesticfinancialinstitution.28四、國內公開發行公司募集與發行之轉換公司債、海外轉換公司債、附

5、認股權公司債及海外附認股權公司債。4.Convertiblecorporatebonds,overseasconvertiblecorporatebonds,corporatebondswithwarrants,oroverseascorporatebondswithwarrants,offeredandissuedbyadomesticpubliccompany.前項所稱外幣計價者，其幣別係指人民幣以外之外幣。Theterm"foreign-denominatedsecurities"intheprecedingparagraphmeans[asecurity]

6、denominatedinaforeigncurrencyotherthanRenminbi.第4條Article4下列發行人發行之國際債券，本中心於接獲主管機關函知後辦理其櫃檯買賣公告：AnnouncementofOTCtradingofaninternationalbondissuedbyanyofthefollowingissuerswillbecarriedoutbytheGTSMuponreceiptofwrittennoticefromthecompetentauthority:一、國際組織。1.Aninternationalorganization.

7、二、外國發行人取具主管機關核准或認可之信用評等機構長期信用評等達AAA級且為該國政府百分之百持股者，或該債券為該國政府百分之百保證者。2.Aforeignissuerthathasalong-termcreditratingofAAAorhigherfromacreditratingagencyapprovedorrecognizedbythecompetentauthorityandthatiswhollyownedbythegovernmentofitshomecountry,orabondfromsuchissuerthatisfullyguaranteed
