1、AndersonHayandGrainCo.v.DunnandWelchLincolnManagementcontrolledalltheconcessionsattheRuidosoRaceTrack.ItsubleasedthefeedconcessiontheretoVirgilWelch.InthatagreementWelchwasdescribedasanindependentcontractor.Inordertoobtainthesublease,WelchwasrequiredtohaveSamDunngua

2、ranteethenotesecuringthesublease.DunnhadaninterestinLincolnManagement.DunnandWelchenteredintoawrittenagreementwherebyDunnwasgivensolerighttomaintaintheaccountingrecords,inventorycontrolsandaccountsreceivableoftheconcession.AbankaccountwasopenedinthenameofRuidosoDown

3、sFeedConcessionandbothDunnandWelchwereauthorizedtosignchecksandtomakewithdrawals.Welchfiledapartnershipincometaxreturnfortheconcessionfortheyear1968.LincolinManagement把feedconcession租给了welch.(合同中welch为独立承包人)。Welch又和dunn签约，类似于合作。Welch和dunn对于银行的帐户（RuidosoDownsFeedConc

5、ysentalettertoAndersonHayandGrain(thereceiptwhereofwasdenied)advisingthatWelchwouldberesponsibleforalldebtsincurredbytheRuidosoDownsFeedConcession.ActionwascommencedbyAndersonHayandGrainCo.torecovermorethan$13,000allegedlyowedtoitbydefendantsWelchandDunn.Thetrialcou
