1、武汉大学硕士学位论文可转换债券的投资与融资研究姓名：周丹申请学位级别：硕士专业：金融学指导教师：何国华2000.5.1内容提要可转换债券是一种兼具债券与股票双重特性的复合型金融工具，在国际资本市场上已风行多年。进入90年代，我国企业才开始尝试运用可转换债券来拓展企业资金来源渠道。目前，在我国发展可转换债券具有十分重要的现实意义：有利于拓宽企业融资渠道；有利于活跃证券市场，为投资者创造新的投资机会；有利于促进企业经营效益的提高，促进国有企业规范化改制；为国有企业债务重组以及变现国有股和法人股提供了新思路。相对于国外成熟的转债市场而言，我国转债发展仍处于探索之中，转债的市场环境、政策法规、交

2、易制度都有待规范，这些因素都加大了我国转债投资与融资决策的难度。≯～本文围绕我国可转换债券的投资与融资问题展开讨论。第一章分析可转换债券的投资价值，在明确了影响可转换债券投资价值的几个因素的基础上，给出以利率和股价为基础的可转换债券的二元定价模型。第二章结合我国实际分析可转换债券的投资策略与融资策略，并指出可转换债券的风险及其防范对策。第三章探讨如何应用可转换债券为国有企业融资和变现上市公司的国有股。在当前的试点中，我国应当主要采取发行上市前预售可转换债券(上市债券)及可交换债券两种形式。这两种形式都是可转换债券在我国特殊的市场环境中的非规范化创新，投资者与发行公司应当在充分了解我国转债
