2、ignTradeandEconomicCooperationandtheStateAdministrationforIndustryandCommerceonAmendingtheRegulationsonMergingandSplittingofForeign-fundedEnterprisesofNovember22,2001)Article1Tostandardizetheactionsrelatedtomergingandsplittingofforeign-fundedenterprisesandtoprotectt

3、helegalrightsandinterestsofinvestorsoftheenterprisesandcreditors,theseRegulationsareenactedinaccordancewiththeCompanyLawofthePeople'RepublicofChinaandwithlawsandadministrativeregulationsonforeign-fundedenterprises.Article2Theseregulationsareapplicabletothemergingbet

4、weenandthesplittingofChinese-foreignequityjointventures,Chinese-foreigncontractualjointventureswithlegalpersonstatus,whollyforeign-ownedenterprises,andforeign-fundedjoint-stocklimitedcompanies(hereinafterreferredtoascompanies)thatareestablishedwithintheChineseterrit

5、oryinaccordancewiththeChineselaws.MergingbetweenthecompaniesandChinesedomestic-fundedenterprisesshallbehandledinreferencetotherelevantlaws,regulationsandtheseRegulations.Article3MergingasusedintheseRegulationsreferstothemergingintoonecompanyoftwoormorecompaniesthrou

6、ghsigningagreementaccordingtotherulesoftheCompanyLaw.Mergingofcompaniesmaytaketheformsofmergerandconsolidation.Mergerreferstoacompanyabsorbsanotherorothersandremainsinexistencewhiletheabsorbedisoraredissolved..Consolidationreferstotwoormorecompaniesmergeintoonenewco
