2、NGMUTUALPROMISESANDCOVENANTS,ANDFOROTHERGOODANDVALUABLECONSIDERATION,THEPARTIESAGREEASFOLLOWS:1.ClientwishesCompanytoperformandCompanyagreestoperformtheTranslationServicesdescribedinExhibitA.AllworkperformedbytheCompanyshallbeinaccordancewithindustrystandards.2.Cli
3、entshallpayCompanyfortheTranslationServicesprovidedtoClientinaccordancewiththepricingandthetermssetforthinExhibitA.Inadditiontothesefees,ClientshallreimburseCompanyfornecessaryout-of-pocketexpensesincurredbyCompanythatarenotanormalpartofroutinetranslationprocedures
4、,suchasovernightdeliveryrequestedbyClient,longdistancetelephoneandfacsimileexpensestoclarifydocumentambiguity,non-textdocumentformatting,indexingofdocuments,batesand/orcontrolnumbering,large–scalephotocopying,etc.3.Thepartiesacknowledgethatduetoinherentdifferencesi
5、nlanguage,words,termsandphrasesspecifictoaculture,region,and/orcountry,itisnotalwayspossibletotranslateexactlyfromonelanguagetoanother.Accordingly,whileCompanywillmakeeveryefforttoensureanaccuratetranslation,itmakesnowarranties,expressorimplied,withrespecttotheTran
6、slationServices.4.InnoeventshallCompanybeliabletoClientforanyindirect,specialorconsequentialdamagesorlostprofitsarisingoutoforrelatedtothisTranslationServicesAgreementorperformanceorbreachhereof,evenifCompanyhasbeenadvisedofthepossibilitythereof.Company’sliabilityt
7、oClientunderthisAgreement,ifany,shallnotexceedthetotalofthefeespaidtoCompanyhereunder.NothinginthisAgreementwilllimitorexcludeanyliabilityforfraudulentmisrepresentation.5.ThisAgreementshallcontinueinfullforceandeffectuntilterminatedbyeitherparty.ThisAgreementmaynot
8、beassignedbyeitherpartywithouttheconsentoftheother.AnywaiverbyeitherpartyofabreachofanyprovisionofthisAgreementshallnotoperate,orbeconstrued,asaw
