2、ER,2007ABSTRACT22GovernancehasbecomeafocalpointofdevelopmentdiscourseincontemporaryAfricancountries.ThisisbecauseithasbeenobservedthatAfrica’sdismaleconomicperformancehasbeenattributedamongotherthingstoweakandineffectivegovernance.Inappropriatepoliticalenviron

3、ment,inparticularthepoorgovernancepracticeofstatehasbeenidentifiedasmajorimpedimenttoeconomicgrowth.Therelationshipamongthepoliticaleconomicandcorporategovernanceisanalogoustoaseriesofconcentriccirclesinwhichthecorporategovernanceformsthecoreorcentreofit.Corpo

4、rategovernancethereforestandsattheintersectionoflaw,publicpolicyandbusinesspractice.ThispaperexaminestheroleofexternalforcesoncorporategovernanceinNigeria.Therearecomplexlinkagesbetweeninternalandexternalfactorsthataffecttheoperatingenvironmentofthecorporation

5、.Thefocusofouranalysisistoexaminethenatureofconstraintsoropportunitiesorprospectsthatsomecontemporaryexternalforcespresentforcorporategovernance.Thispaperestablishesthatthereisadirectrelationshipbetweenexternalfactorsandcorporategovernance.Forproperandeffectiv
