1、WARSAW-OXFORDRULES1932PREAMBLETheseRulesareintendedtooffertothoseinterestedinthesaleandpurchaseofgoodsonc.i.f.termswhohaveatpresentnostandardformofcontractorgeneralconditionsavailableameansofvoluntarilyandreadilyadoptingintheirc.i.f.contractsasetofuniformrules.Intheabsenceo

2、fanyexpressadoptionoftheseRulesinthemannerhereinafterappearing,theyshallinnocasebedeemedtogoverntherightsandobligationsofthepartiestoasaleofgoodsonc.i.f.terms.RULE1.SCHEMEOFRULESTheseRulesshallbeknownasthe"Warsaw-OxfordRules",andtheiradoptionashereinprovidedshallbeconclusiv

3、eevidencethatthepartiesintendtheircontracttobeac.i.f.contract.AnyoftheseRulesmaybevaried,oramended,orothertermsinsertedinthec.i.f.contract,butsuchvariation,amendmentorinsertionmayonlybemadebyexpressagreementofthepartiestothecontract.Intheabsenceofanysuchexpressagreementthes

4、eRulesshallapplywithoutqualificationtoanysaleofgoodsinvolvingeitherwhollyorinparttransitbysea,inconnectionwithwhichtheyareexpresslyadoptedbyareferencetotheterm"Warsaw-OxfordRules",andtherightsandobligationsofthepartiesshallbeconstruedinaccordancewiththeprovisionsoftheseRule

5、s.IncaseofaconflictbetweentheRulesandacontractthelattershallgovern.ReferencetotheRulesshallcoverallotherprovisionsonwhichthecontractitselfissilent.Theexpression"usageoftheparticulartrade"asemployedintheseRulesmeansasettledcustomsogeneralintheparticulartradethatthepartiestot

6、hecontractofsalemustbeheldtoknowoftheexistenceofsuchacustomandtohavecontractedwithreferencethereto.RULE2.DUTIESOFTHESELLERASTOSHIPMENT(I)TheSellermustprovidegoodsofthecontractualdescriptionand,subjecttotheprovisionsofthenextsucceedingparagraphandtothoseofRules7(III)and(IV),

7、havethemloadedonboardthevesselattheportofshipmentinthemannercustomaryattheport.(II)Wherethegoodscontractedtobesoldarealreadyafloat,orhavealreadybeendeliveredintothecustodyofthecarrierinthemannerprovidedinRule7(III)and(IV),atthetimethesaleismade,orwherethesellerisentitledtop
