1、WARSAW-OXFORDRULES1932PREAMBLE       TheseRulesareintendedtooffertothoseinterestedinthesaleandpurchaseofgoodsonc.i.f.termswhohaveatpresentnostandardformofcontractorgeneralconditionsavailableameansofvoluntarilyandreadilyadoptingintheirc.i.f.contractsasetofunifor

2、mrules.   IntheabsenceofanyexpressadoptionoftheseRulesinthemannerhereinafterappearing,theyshallinnocasebedeemedtogoverntherightsandobligationsofthepartiestoasaleofgoodsonc.i.f.terms.    RULE1.SCHEMEOFRULESTheseRulesshallbeknownasthe "Warsaw-OxfordRules",andthei

3、radoptionashereinprovidedshallbeconclusiveevidencethatthepartiesintendtheircontracttobeac.i.f.contract.   AnyoftheseRulesmaybevaried,oramended,orothertermsinsertedinthec.i.f.contract,butsuchvariation,amendmentorinsertionmayonlybemadebyexpressagreementoftheparti

4、estothecontract.IntheabsenceofanysuchexpressagreementtheseRulesshallapplywithoutqualificationtoanysaleofgoodsinvolvingeitherwhollyorinparttransitbysea,inconnectionwithwhichtheyareexpresslyadoptedbyareferencetotheterm "Warsaw-OxfordRules",andtherightsandobligati

5、onsofthepartiesshallbeconstruedinaccordancewiththeprovisionsoftheseRules.   IncaseofaconflictbetweentheRulesandacontractthelattershallgovern.ReferencetotheRulesshallcoverallotherprovisionsonwhichthecontractitselfissilent.Theexpression "usageoftheparticulartrade

6、"asemployedintheseRulesmeansasettledcustomsogeneralintheparticulartradethatthepartiestothecontractofsalemustbeheldtoknowoftheexistenceofsuchacustomandtohavecontractedwithreferencethereto.    RULE2.DUTIESOFTHESELLERASTOSHIPMENT(I)TheSellermustprovidegoodsoftheco

7、ntractualdescriptionand,subjecttotheprovisionsofthenextsucceedingparagraphandtothoseofRules7 (III)and (IV),havethemloadedonboardthevesselattheportofshipmentinthemannercustomaryattheport.(II)Wherethegoodscontractedtobesoldarealreadyafloat,orhavealreadybeendelive
