3、heManagementShareholder,pursuanttotheAssetsTransferAgreement("Offshore-ATA")enteredintobyandbetweenthosepartiesonApril1st,20**.Afterthecompletionofabovesaidtransactions,theSellerorthethirdpartydesignatedbytheSellerownsfullrightandtitletotheAssets(asdefinedbelow),andisentitledtodisposeoftheAssetswhi
4、chareusedintheBusiness(asdefinedbelow)ortheoperationrelatedthereto.BTheOperatorisajointstockcompanyunderPRClaw,inwhichtheaffiliateoftheSellerholds28%equityinterests.TheaffiliateoftheSelleracquired12%oftheOperator'sequityinterestpursuanttotheequitytransferagreementsignedonApril1st,20**withthenatural
5、personshareholdersoftheOperator("NaturalPersonShareholderEquityTransferAgreement").Therefore,uponthecompletionoftheforegoingtransactions,theSellerholdsanaggregate40%oftheOperator'sequityinterests.ThePurchaserorthethirdpartydesignatedbythePurchaserexecutedanequitytransferagreementwith***Co.,Ltd(***)
