3、S,BuyerdesirestopurchaseandacquirefromSellersuchassetsutilizedintheBusiness;andWHEREAS,subjecttothetermsandconditionscontainedinthisAgreement,SellerherebyshallsellandtransferandBuyerherebyshallpurchaseandacquirecertainoftheassetsoftheSellerasmorefullyspecifiedbelow.NOW,THEREFOR
