2、rarecollectivelyreferredtohereinasthe“Parties.”WHEREAS,SellerhasdeterminedthatitdesirestosellandtransfercertainassetsandprocessesutilizedbySellerinthemanufactureanddistributionofPartyGoods(ashereinafterdefined)generallyunderthe"DesignWare"label(the"Business");WHEREAS,Buyerdesirestopurchase
3、andacquirefromSellersuchassetsutilizedintheBusiness;andWHEREAS,subjecttothetermsandconditionscontainedinthisAgreement,SellerherebyshallsellandtransferandBuyerherebyshallpurchaseandacquirecertainoftheassetsoftheSellerasmorefullyspecifiedbelow.NOW,THEREFORE,inconsiderationofthepremisesandthe
