6、etforthorreferencedbelow:"Affiliate"means,withrespecttoanyPerson,shallmeananyotherPersonthatdirectlyorindirectlycontrols,iscontrolledby,orisundercommoncontrolwithsuchspecifiedPerson.Asusedinthisdefinition,“control"meanspossession,directlyorindirectly,of
7、powertodirectorcausethedirectionofmanagementorpolicies(whetherownershipofsecuritiesorpartnershiporotherownershipinterests,bycontractorotherwise);"ServicesFee"shallbeasdefinedinClause3.1;"Indebtedness"shallmean,astoanyPerson,withoutduplication,(i)allinde
