1、ExclusiveAgencyAgreementThisagreementismadeandenteredintobyandbetweenthepartiesconcernedoninBeijing,Chinaonthebasisofequalityandmutualbenefittodevelopbusinessontermsandconditionsmutuallyagreeduponasfollow:1.ThePartiesConcernedPartyA:PartyB:2.AppointmentPartyAherebyappointsPar
2、tyBasitsExclusiveAgenttosolicitordersoftheproductstipulatedinArticle3fromcustomersintheterritorystipulatedinArticle4, andPartyBacceptsandassumessuchappointment.3.Products4.TerritoryInPeople’sRepublicofChina(Mainlandonly)5.MinimumturnoverPartyBshallundertaketosolicitordersofth
3、eaboveproductsfromcustomersintheaboveterritoryduringvalidityofthisagreementfornotlessthanUSD.6.PriceandPaymentThepriceforeachorderofthePRODUCTS,accordingtothepricingsetoutintheattachedExhibitA.Confirmed,irrevocableL/CisopenedbythePartyBinfavorofPartyAforthefullamountofallpaym
4、entsunderthisagreementatthetimeoftheordershallmakepayment.7.ExclusiveRight1)Inconsiderationoftheexclusiverightsgrantedherein,PartyAshallnot,directlyorindirectly,sellorexporttheproductsstipulatedinArticle4tothethirdpartyinMainlandChinathroughchannelsotherthanPartyB;PartyBshall
5、notsell,distributeorpromote5thesalesofanycompetitiveorsimilarproductsinMainlandChinaandshallnotsolicitoracceptordersoutsideMainlandChina.PartyAshallrefertoPartyBanyenquiriesorordersfortheproductsinquestionreceivedbyPartyAfromotherfirmsinChinaMainlandduringthevalidityofthisagr
6、eement.1)PartyBagreesnottodiscloseanyconfidentialinformationandinventionsofPartyA(the"SUBJECT")including,butnotlimitedto,proprietaryinformation,know-how,tradesecrets,andideaspossessedandownedbythePartyArelativetothePRODUCTSandmethodsofusingthePRODUCTS.PartyBagreesthatallwriti
7、ngs,drawings,and/orphotographsabovetheSUBJECTwhichhavebeenormaybesubmittedtoPartyB,includinganypatentapplicationscurrentlypendingortobefiledbyPartyAregardingtotheSUBJECT,willremainthepropertyofPartyA,andPartyBwillreturnallsuchprototypes,writings,drawings,and/orphotographsanda
