2、方发送或接收对方发送之相关资料（定义见下）。在任何情况下，发送相关资料方为披露方，接收相关资料方为接收方；Inconnectionwithfuturebusinesscooperation(the“Transaction”),bothPartieshavetheopportunitytoreceiveRelevantMaterial(asdefinedbelow)fromtheotherParty.Inanycase,thePartydelivertheRelevantMaterialisthe“DisclosingParty”,thePartyreceivet

3、heRelevantMaterialisthe“Recipient”;B.双方签署本协议后，披露方将向接收方提供特定的相关资料；UponsigningofthisAgreement,theDisclosingPartyshallprovidetheRecipientwiththeRelevantMaterial;C.“相关资料”包括披露方或其代表（定义见下）向接收方或其代表（定义见下）提供的与披露方及其关联方之业务、经营、技术和事务有关的一切信息（无论是在本协议签署日之前还是之后提供的，也无论是以书面还是口头形式提供的），但是不包括那些非因接收方或其代表违反本协

4、议所作披露而为公众所知的信息。“代表”是指，就本协议任一方而言，该方的董事、管理人员、关联方、合伙人、股东或权益持有人、职工、代理人和顾问。Theterm“RelevantMaterial”includesallinformationconcerningthebusiness,operations,technologyandaffairsoftheDisclosingPartyanditsaffiliatesfurnishedtotheRecipientoritsRepresentatives(asdefinedbelow)bytheDisclosingPart

5、yoritsRepresentatives(whetherbeforeorafterthedatehereofandwhetherwrittenororal),butdoesnotincludeinformationwhichwasorbecomesgenerallyavailabletothepublicotherthanasaresultofadisclosurebytheRecipientoritsRepresentativesinbreachofthisAgreement.“Representatives”means,withrespecttoeithe

6、rpartyhereto,suchparty'sdirectors,officers,affiliates,partners,shareholdersorequityholders,members,employees,agentsandadvisors.作为向接收方及其代表提供任何相关资料的前提条件之一，双方在此同意并承诺如下：AsaconditiontotheRecipientanditsRepresentativesbeingfurnishedwithanyRelevantMaterial,bothPartiesherebyagreeandundertake
