1、MUTUALNON-DISCLOSUREAGREEMENTWITHNON-CIRCUMVENTIONPROVISIONSThisMutualNon-DisclosureAgreement(“Agreement”)ismadeasofApril7th,2017(“EffectiveDate”)byandbetweenXXXCompany,aXXXCompany,withthecommercialregistrationXXXX,anditsregisteredaddressatXXX(“XXX”),andXXXXXX,aXXXcompany
2、withitsregisteredaddressatXXXX(“Company”).StatementofPurposeInanalysisofapossibletransactioninvolvingthedevelopmentandrealizationofcertainRealEstatetransactionswithintheKingdomofBahrain(the“Projects”)whichhavebeenidentifiedbyUXBandtodetermineifthePartieswishtocooperateons
3、uchProjectsinanycapacitywhatsoever.ThepartyreceivingorlearningsuchConfidentialInformationisreferredtohereinasthe“ReceivingParty,”andthepartydisclosingsuchConfidentialInformationisreferredtoasthe“DisclosingParty.”InconsiderationoffurnishingtheotherpartywithConfidentialInfo
4、rmation,themutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:1.Definitionof“ConfidentialInformation”.a.ConfidentialInformation.ForpurposesofthisAgreement,“ConfidentialInformat
5、ion”meansallinformationthatisnotgenerallyknown,inwhateverform,disclosedbyaDisclosingPartytoaReceivingPartyorlearnedasaresultofsuchdisclosure,includinginformationaboutaDisclosingParty’sfinances,costsandpricing;andtheDisclosingParty’sactualorpotentialemployees,vendorsorcust
6、omers;competitiveandmarketconditions;andanyotherinformationwhichisnotgenerallyknowntoothers.b.Exceptions.ConfidentialInformationdoesnotincludeinformationthat:(i)is,orlaterbecomesgenerallyknownotherthanasaresultofmisappropriationorabreachofthisAgreement;(ii)isinthepossessi
7、onoftheReceivingPartywithoutrestrictionpriortoitsreceiptfromtheDisclosingParty,asevidencedbycontemporaneouswrittenrecords;(iii)isreceivedbytheReceivingPartyfromathirdpartylawfullyholdingsuchConfidentialInformationandwithnorestrictionsonitsdisclosure;or(iv)wasindependently
8、developedbytheReceivingPartywithoutaccesstotheDisclosingParty’sConfidentialInformation,asevidenc
