1、MUTUALNON-DISCLOSUREAGREEMENTWITHNON-CIRCUMVENTIONPROVISIONSThisMutualNon-DisclosureAgreement("Agreement")ismadeasofApril7th,2017("EffectiveDate”)byandbetweenXXXCompany,aXXXCompany,withthecommercialregistrationXXXX,anditsregisteredaddressatXXX(“XXX"),andXXXXXX,aXXXcompanyw
2、ilhitsregisteredaddressatXXXX(“Company").StatementofPurposeInanalysisofapossibletransactioninvolvingthedevelopmentandrealizationofcertainRealEstatetransactionswithintheKingdomofBahrain(the"Projects^)whichhavebeenidentifiedbyUXBandtodetermineifthePartieswishtocooperateonsuc
3、hProjectsinanycapacitywhatsoever.ThepartyreceivingorlearningsuchConfidentialInformationisreferredtohereinasthe"ReceivingParty,"andthepartydisclosingsuchConfidentialInformationisreferredtoasthe"DisclosingParty.InconsiderationoffurnishingtheotherpartywithConfidentialInformat
4、ion,themutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:1.Definitionof"ConfidenlialInformatiorT.a.ConfidentialInfonnation.ForpurposesofthisAgreement,"ConfidentialInformation^m
5、eansallinformationthatisnotgenerallyknown,inwhateverform,disclosedbyaDisclosingPartytoaReceivingPartyorlearnedasaresultofsuchdisclosure,includinginformationaboutaDisclosingPartytfinances,costsandpricing;andtheDisclosingParty'sactualorpotentialemployees,vendorsorcustomers;c
6、ompetitiveandmarketconditions;andanyotherinformationwhichisnotgenerallyknowntoothers.b.Exceptions.ConfidentialInformationdoesnotincludeinformationthat:(i)is,orlaterbecomesgenerallyknownotherthanasaresultofmisappropriationorabreachofthisAgreement;(ii)isinthepossessionoftheR
7、eceivingPartywithoutrestrictionpriortoitsreceiptfromtheDisclosingParty,asevidencedbycontemporaneouswrittenrecords;(iii)isreceivedbytheReceivingPartyfromathirdpartylawfullyholdingsuchConfidentialInformationandwithnorestrictionsonitsdisclosure;or(iv)wasindependentlydeveloped
8、bytheReceivingPartywithoutaccesstotheDisclosingParty'sConfidentialInformation,asevidenced
