2、OracleOnlineTrainingMaterials–UsageAgreement1.Oracleispleasedtoallowitsbusinesspartner(“Partner”)todownloadtheMaterialsfoundonthisareaoftheSite.TheMaterialsp
3、rovidedonorthroughthisareaoftheSiteareconfidentialtoOracleandprotectedbyintellectualpropertylaws,andprovidedtoPartnerunderandpursuanttotheterms,conditionsandrestrictionsofPartner’sagreementwithOracletoparticipateintheapplicablebetaprogrampertainingtotheSoftware(asdefinedbelow)(“BetaTrial
4、LicenseAgreement”),aswellasanyadditionalterms,conditionsandrestrictionssetforthinanyareaofthisSiteorinanyMaterialsprovidedonorthroughthisSite.Intheeventofanyconflictorinconsistencybetweentheterms,conditionsandrestrictionssetforthintheBetaTrialLicenseAgreementandthosesetforthinanyareaofth
5、isSiteoninanyMaterialsprovidedonorthroughthisSite,theformershallhaveprecedencewithrespecttoPartner’saccessanduseoftheSiteandMaterials,provided,however,thatnotwithstandinganythingtothecontraryintheBetaTrialLicenseAgreement,PartnerwillrestrictaccesstoanddisclosureofMaterialsonlytoitsemploy
6、eeswhorequireaccesstoMaterialsinconnectionwiththeBetaTrialLicenseAgreement.2.OracleisaregisteredtrademarkofOracleCorporationand/oritsaffiliates.Othernamesmaybetrademarksoftheirrespectiveowners.3.OracledisclaimsanywarrantiesorrepresentationsastotheaccuracyorcompletenessofanyMaterials.Mate
7、rialsareprovided"asis"withoutwarrantyofanykind,eitherexpress,impliedorstatutory,includingwithoutlimitationtheimpliedwarrantiesofmerchantability,satisfactoryquality,fitnessforaparticularpurpose,accuracy,timelinessandnon-infringementofthird-partyrights.Theinformationcontainedhereinissubjec
