2、入，合伙法律中原有规定的不足逐渐暴露出来，尤其是风险投资业对有限合伙这一企业组织形式的呼唤，更增加了人们对这种合伙法律制度体系的关注。论文较全面的总结了我国现阶段合伙企业中存在的问题，在整合国内研究成果的基础上，深度分析了我国合伙企业存在的弊端，借鉴国外的理论，提出了我国合伙企业立法中的几点新看法。本文从新旧《合伙企业法》的对比，对合伙企业的相关法律问题进行了研究。对新法的亮点问题进行了仔细深入的研究，以求在立法的发展和改革上有积极作用。尤其是对新法中法人合伙和有限合伙的重点问题有了更加丰富的论述，在合伙企业中有限合伙责任的考察也具有很重要的现实意
