3、[RFP______,dated____],pursuanttothetermsofthisAgreementandtheprice,payment,delivery,andothertermssetforthintheAppendixattachedheretoandmadeaparthereof(the“Appendix”).TheGoodswillbeshipped___,inaccordancewiththedetailsspecifiedintheAppendix.NothingcontainedinthisAgreementshallbecons
4、truedasacommitmentbyPurchasertopurchaseanyGoods,orminimumquantitythereof,fromSeller.2.Term.ThetermofthisAgreementshallbeginontheEffectiveDate,andshallendon___________(the“Term”)unlessearlierterminatedinaccordancewiththisAgreement.3.TitleandRiskofLoss.TitletoandriskoflossofallGoodsf
5、urnishedhereundershallremainwithSelleruntilreceipt,inspection,andacceptanceoftheGoodsbyPurchaser.SellerwarrantsthatithascleartitletotheGoodsandthatthereisnooutstandinghostileclaimagainstorsecurityinterestintheGoodsheldbyathirdparty.4.Non-Disclosure.Allinformation,includingbutnotlim
6、itedto,financialstatements,productinformation,manufacturingcapabilities,passwords,documents,dataandbusinessrecords,whichisdisclosedtoPurchaserbySellerorwhichPurchaserobservesorcomesintocontactwithduringtheTermofthisAgreement,whethergeneratedbySellerorcontractorofSeller,shallbedeeme
7、d"ConfidentialInformation"andthesoleandexclusivepropertyofSeller.PurchasershalltakeallreasonablemeasurestomaintaintheconfidentialityofsaidConfidentialInformationbyitsemployees,agents,representativesandcouriers.PurchasershallnotusetheConfidentialInformationforanypurposesotherthantop
