1、AGREEMENTTHISAGREEMENT(this“Agreement”)ismadeasofthis__dayof__________,200_,(the“EffectiveDate”)byandbetween_________________.("Purchaser")and_________________("Seller").WITNESSETH:WHEREAS,Purchaserwishestopurchase________________fromSeller;andWHEREAS,Selleriswillingtosellsuch

3、he“Goods”)[RFP______,dated____],pursuanttothetermsofthisAgreementandtheprice,payment,delivery,andothertermssetforthintheAppendixattachedheretoandmadeaparthereof(the“Appendix”).TheGoodswillbeshipped___,inaccordancewiththedetailsspecifiedintheAppendix.NothingcontainedinthisAgree
4、mentshallbeconstruedasacommitmentbyPurchasertopurchaseanyGoods,orminimumquantitythereof,fromSeller.2.Term.ThetermofthisAgreementshallbeginontheEffectiveDate,andshallendon___________(the“Term”)unlessearlierterminatedinaccordancewiththisAgreement.3.TitleandRiskofLoss.Titletoandr
5、iskoflossofallGoodsfurnishedhereundershallremainwithSelleruntilreceipt,inspection,andacceptanceoftheGoodsbyPurchaser.SellerwarrantsthatithascleartitletotheGoodsandthatthereisnooutstandinghostileclaimagainstorsecurityinterestintheGoodsheldbyathirdparty.4.Non-Disclosure.Allinfor
6、mation,includingbutnotlimitedto,financialstatements,productinformation,manufacturingcapabilities,passwords,documents,dataandbusinessrecords,whichisdisclosedtoPurchaserbySellerorwhichPurchaserobservesorcomesintocontactwithduringtheTermofthisAgreement,whethergeneratedbySellerorc
7、ontractorofSeller,shallbedeemed"ConfidentialInformation"andthesoleandexclusivepropertyofSeller.PurchasershalltakeallreasonablemeasurestomaintaintheconfidentialityofsaidConfidentialInformationbyitsemployees,agents,representativesandcouriers.PurchasershallnotusetheConfidentialIn
