1、摘要近些年来，图际上的机构投资者获得了迅赫发展，坨其在英美，已经由消极的投资者转变为积极的投资者，参与公司治理。在此背景下，中国的机构投资者也只益成为证券市场上举足轻重的土导力量。本文的目的在于对我国的机构投资者在公司治理中的必要性进行探讨，并对机构投资者对公司业绩的影响效果进行实证研究。通过检验机构投资者与公司业绩的关系，来判断我国机构投资者目前是否是“价值发现者”，他们的存在对公司业绩是否有影响及影响程度，这种影响是来自于“价值发现”还是也来自于参与公司治理带来的业绩提升，即“价值创造”。通过实证分析，发现我国的机构

2、投资者能够选择业绩好的上市公司进行投资，是价值的“发现者”，而且，从2003年开始，机构投资者持股和公司业绩显著正相关，并且机构投资者通过对第一大股东的制衡，参与控制权的争夺，对公司业绩的影响显著，另外，机构投资者在持有上市公司股份后，公司的业绩有碌著的提升，这说明我国机构投资者刁i仅是“价值发现者”，而且还具有了“价值创造者”的特征。最后根据实证结论提出建议，应继续大力发展机构投资者，提高机构投资者参与公司治理的能力，鼓励机构投资者采取联合行动，建市制衡的股权结构，提升公司业绩。关键词：机构投资者公司治理业绩制衡第1页
