1、摘要企业合并是反垄断法关注的重要课题。为保护竞争，维护优化配置资源的市场机制，绝大多数市场经济国家都已经颁布了反垄断法。各国反垄断立法表明,企业合并的反垄断控制处于核心地位。但同时，如果企业合并符合一定条件，则可以享有反垄断豁免。反垄断豁免制度是整个反垄断法律制度的重要组成部分，它与作为反垄断法主体的禁止制度相互配合，共同担当着维护经济自由和民主、促进社会公益的重任。尤其是在企业合并过程中，许多市场经济发达的国家和地区都构建了较为完善的反垄断豁免制度，并随着经济发展和社会演进不断对各自的制度进行调整。目前,我国市场经济已逐步发展完

2、善,制定与我国国情和经济发展阶段相适应的《反垄断法》成为紧迫任务，这必然涉及到企业合并的控制与反垄断豁免这两个方面的问题。因此，本文拟就企业合并中的反垄断法豁免问题进行法学探讨。通过研究主要发达国家和地区反垄断豁免法律制度的理论与实践，探寻适用豁免制度的形成依据，归纳出各国企业合并中反垄断豁免的主要类型和理由，关注不同国家地区适用豁免制度的可借鉴性与变迁，注重对反垄断豁免的“度”的把握及其法律弹性，进而提出建立我国企业合并的反垄断豁免法律制度的具体构想。关键词：反垄断法；豁免；企业合并IABSTRACTEnterprisecomb
